These Terms & Conditions (“Terms”) govern your access to and use of the website udaandigitalsolutions.in, and your engagement of Website Development, SEO, Google Ads/Meta Ads, Digital Marketing, WordPress, E-commerce, Branding, or any other services (“Services”) provided by Udaan Digital Solutions, based in Greater Noida, Uttar Pradesh, India.

1. Scope of Services

Udaan Digital Solutions offers the following Services, as further detailed in individual proposals, quotations, or service agreements:

• Website Development (including custom and WordPress websites)
• SEO Optimization and keyword-based organic growth strategies
• Google Ads / Meta Ads campaign management
• Digital Marketing, social media marketing, and branding
• E-commerce website design, setup, and management
• Custom software and digital solutions

The exact scope, deliverables, timelines, and pricing for any engagement will be confirmed in writing (proposal, quotation, invoice, or email confirmation) prior to commencement of work.

2. Quotations, Payments & Billing

• All quotations provided are estimates based on the information shared at the time of request and may be revised if project scope changes.
• Projects generally require an advance payment before work commences, with the balance payable as per milestones agreed in the proposal/invoice.
• Recurring services (SEO, ad management, social media marketing, maintenance) are billed on a monthly or as-agreed cyclical basis and must be paid on or before the due date to avoid suspension of Services.
• Domain, hosting, third-party licenses, stock assets, and paid ad-spend budgets are separate from our service fees unless explicitly included in the quotation.
• All fees are exclusive of applicable taxes (GST, etc.) unless stated otherwise.

3. Client Responsibilities

• Providing timely content, brand assets, access credentials, approvals, and feedback required to execute the project.
• Ensuring that all content, images, trademarks, and materials supplied to us for use on the website or in marketing campaigns are owned by or properly licensed to the Client.
• Reviewing and approving deliverables (designs, campaigns, content) within the timelines communicated; delays in feedback may extend project timelines correspondingly.

4. Intellectual Property

• Upon full and final payment, ownership of the final website/design deliverables created specifically for the Client transfers to the Client, excluding any third-party licensed themes, plugins, stock media, or proprietary tools/frameworks used by Udaan Digital Solutions.
• Udaan Digital Solutions retains the right to showcase completed projects in its portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing.
• Any custom code, frameworks, or reusable components developed internally by Udaan Digital Solutions remain our intellectual property and may be reused across other client projects.

5. Results & Performance Disclaimer

While we apply industry best practices for SEO, Google Ads/Meta Ads, and digital marketing to drive measurable results, ROI, and rankings, we do not guarantee specific rankings, traffic, lead volume, or conversion outcomes, as these depend on factors including but not limited to search engine algorithm changes, market competition, ad platform policies, and Client’s business/market conditions.

6. Project Timelines & Revisions

• Estimated delivery timelines are communicated at project start and depend on timely Client inputs and approvals.
• Each project/service includes a defined number of revision rounds as agreed in the proposal; additional revisions beyond scope may be chargeable.

7. Cancellation & Refunds

• Advance payments made toward project initiation are non-refundable once work has commenced, as they cover research, planning, and resource allocation.
• For recurring/monthly services, cancellation requires written notice at least 15 days in advance of the next billing cycle.
• No refunds are provided for third-party costs already incurred (ad spend, domain/hosting purchases, licenses, stock media).

8. Suspension of Services

We reserve the right to pause or suspend ongoing Services in the event of delayed/non-payment, non-cooperation in providing necessary access or content, or use of our Services for unlawful, defamatory, or fraudulent purposes.

9. Limitation of Liability

Udaan Digital Solutions shall not be liable for any indirect, incidental, or consequential damages, including loss of business, revenue, or data, arising from use of our Services or website. Our total liability for any claim shall not exceed the total fees paid by the Client for the specific Service giving rise to the claim.

10. Third-Party Platforms

Services involving Google Ads, Meta Ads, hosting providers, payment gateways, or other third-party platforms are subject to those platforms’ own terms and policies. We are not responsible for changes, suspensions, or actions taken by such third parties.

11. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the course of the engagement and not disclose it to third parties without written consent, except as required by law.

12. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms or our Services shall be subject to the exclusive jurisdiction of the courts at Greater Noida / Gautam Buddh Nagar, Uttar Pradesh, India.

13. Changes to These Terms

We may revise these Terms from time to time. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
